Terms of Service

These terms govern all design, custom software development, web applications,
and cloud maintenance services provided by danaleko.com

SECTION 01

Our Services

We offer professional branding, graphic design, web design, custom web application development, and workflow automation services. This includes the creation of brand identities, marketing collateral, SaaS architectures, and high-performance websites designed to help businesses scale effectively.

SECTION 02

Client Responsibilities

To ensure a seamless project workflow and maintain scheduled delivery dates, clients are required to:

  • Provide accurate, complete, and timely information, creative briefs, and media assets required for project execution.
  • Offer prompt feedback, reviews, and sign-offs within agreed communication windows.
  • Fulfill invoice payments punctually in accordance with the project agreement schedule.
  • Grant danaleko.com non-exclusive, temporary authorization to utilize provided brand logos, trademarks, and content solely for executing deliverables.
SECTION 03

Payment Terms & Schedules

Our standard financial structure guarantees dedicated allocation of engineering and creative resources:

UPFRONT DEPOSIT

A 50% non-refundable deposit is required prior to project kickoff. This secures project scheduling and covers initial design architecture phases.

FINAL BALANCE

The remaining 50% balance is payable prior to final project completion, prior to production deployment or source code file transfer.

PAYMENT CHANNELS

We accept Direct Bank Transfers (EFT / SWIFT) and Mobile Money (M-Pesa) for regional clients.

OVERAGES & LATE INVOICES

Invoices must be settled within 3 calendar days of deliverable hand-off. Should delays occur:

  • We reserve the right to pause active development and withhold production deployment, master files, or domain transfers.
  • Projects delayed beyond 7 calendar days without prior agreement may be marked inactive, requiring a 15% re-activation fee.
  • A late payment fee of 3% per month may be applied to overdue balances.
SECTION 04

Refund Policy

All monetary payments made to danaleko.com are strictly non-refundable. Because our deliverables consist of custom engineering, intellectual design labor, and specialized digital assets, they cannot be returned once work has commenced or files have been issued.

SECTION 05

Project Timelines & Scope Management

Project deadlines are established at project inception. Schedules may be adjusted under the following conditions:

  • Scope Creep: Unscheduled requests for additional features, design iterations, or structural changes outside the initial statement of work will require a change request invoice and extended delivery timeline.
  • Client Delays: Inactivity or delayed feedback exceeding 5 business days will automatically shift milestone deadlines forward.
SECTION 06

Intellectual Property & Licensing

Upon receipt of full and final cleared payment, full ownership rights to completed custom front-end designs and tailor-made application code transfer to the client.

DEVELOPMENT CREDIT

Unless subject of a white-label non-disclosure agreement, danaleko.com retains the right to display a discreet "Designed & Developed by danaleko" credit in the website footer.

PORTFOLIO EXHIBITION

danaleko.com reserves the right to exhibit non-confidential completed designs, user interfaces, and case studies in our digital portfolio and social media channels.

SECTION 07

Source Files & Assets

Raw design project assets (layered Figma components, vector master files, uncompiled source repositories) remain property of danaleko.com unless explicitly included in the contract agreement. Licensing or raw file transfers can be arranged under a separate asset transfer agreement.

SECTION 08

Project Suspension & Termination

We reserve the unilateral right to suspend or terminate ongoing client work under the following circumstances:

  • Unsettled account balances or default on payment schedules.
  • Direct breach of confidentiality, intellectual property, or contract conditions.
  • Abusive, unprofessional, or hostile conduct during team collaboration.

In the event of termination for client default, all prior payments remain non-refundable and all ongoing links will be deactivated.

SECTION 09

Infrastructure & Maintenance Policy

All websites, web applications, and databases hosted on our managed cloud environments require an active monthly technical maintenance plan.

SCOPE OF MAINTENANCE PLAN

Our maintenance plan is strictly an infrastructure, security, and stability service. It includes server security patches, core framework updates, automated database snapshots, uptime monitoring, and SSL certificate renewals.

WHY MAINTENANCE IS MANDATORY

Our cloud environments host high-performance client applications. Standardized maintenance guarantees zero security vulnerabilities, keeping all hosted client properties safe from malicious exploits.

EXCLUSIONS (CODE & FUNCTIONALITY SUPPORT)

The maintenance plan does NOT cover feature additions, UI modifications, bug fixes caused by third-party script changes, or application code refactoring. Non-infrastructure troubleshooting is billed under ad-hoc support hours.
